TERMS AND CONDITIONS OF SALE

Article 1 - Purpose and Scope
These Terms and Conditions of Sale apply to all sales of products and services made on the Soul Rebel E-Shop website, operated by GITTON Sylvère under the trade name SOUL REBEL (397.692.740 RCS Salon-de-Provence).
These Terms and Conditions apply to the purchase of physical products (equipment, accessories, items) and downloadable digital products (audio files, graphic and written works, software, applications, modules, extensions and other digital content).
Any order implies unconditional acceptance of these Terms and Conditions. They prevail over any other commercial or contractual provisions not expressly accepted by SOUL REBEL.
Acceptance is evidenced by the buyer's electronic signature through the “confirmation click” made at the time of payment. This electronic signature has the same value as a handwritten signature.
SOUL REBEL reserves the right to amend these Terms and Conditions at any time. The new conditions will apply to orders placed after they are published online.
Article 2 - Physical Products 2.1 Product characteristics
The physical products offered for sale on Soul Rebel E-Shop are described with their essential characteristics (name, quantity, specific features). Photographs are for illustrative purposes only and are not contractually binding.
2.2 Availability
Products are available for as long as they appear in the online catalogue, unless otherwise stated.
2.3 Ordering and Payment
- The buyer must complete the mandatory fields in the order form.
- An order number is assigned, but the order becomes final only after payment has been validated.
- Accepted payment methods: bank card, PayPal, bank transfer.
- If payment is refused, the order is cancelled.
2.4 Delivery
- Dispatch within 3 to 14 working days, depending on stock availability.
- Delivery charges are indicated when the order is confirmed.
- SOUL REBEL cannot be held liable for delays attributable to carriers.
Article 3 - Downloadable Digital Products 3.1 Types of downloadable products
Digital products available on Soul Rebel E-Shop include in particular:
- Audio files: songs, sound loops, albums (standard format); some files may be supplied in WAV format for professional use under a contract.
- Graphic works: illustrations, posters, digital visuals.
- Written works: ebooks, texts, sheet music.
- Software and applications: modules, extensions, plugins, applications, scripts, tools and other software components, particularly for websites, e-commerce platforms or other IT environments. Depending on the product, these may be supplied with installation files, documentation, updates or a licence to use.
- Other digital content: any other file, resource or digital product offered for download or supplied electronically.
3.2 Ordering and Payment
- The process is identical to that for physical products.
- No physical shipment; delivery is made by an immediate download link after payment.
3.3 Access to files
- The download link remains available for 7 days and allows a maximum of 3 downloads.
- The buyer must back up the files. No replacement copy will be sent in the event of loss.
- In the event of an expired link or corrupted file, a new link may be requested within 7 days of purchase.
3.4 Right of Withdrawal and Refunds
⚠ No refund is possible after downloading.
In accordance with Article L.221-28 of the French Consumer Code, the buyer waives the right of withdrawal for downloadable digital files. Before completing the purchase, the buyer must tick a box confirming acceptance.
3.5 Licences to Use
The purchase of a digital product does not confer any ownership rights, but only a licence to use it.
3.5.1 Audio Products
- ✅ Personal use only.
- 🚫 Prohibited: resale, sharing, modification, commercial use.
- 🔹 Commercial licences are available.
3.5.2 Graphic Products
- ✅ Private licence for decorative use.
- 🚫 Prohibited: resale, public distribution, modification.
- 🔹 Commercial licence available on request.
3.5.3 Written Products
- ✅ Private reading only.
- 🚫 Prohibited: copying, modification, resale, distribution.
- 🔹 Professional use is subject to a specific licence.
Article 3 bis - Professional Music Licences 3.6 Definition and scope
Professional music licences allow a musical work to be legally used within a defined context (video, podcast, advertising, events, etc.) without any transfer of copyright. The author retains all moral and economic rights.
3.7 Conditions of use
- ✅ Non-exclusive: all purchasers may use the licensed music.
- ✅ No geographical restriction: the works may be distributed worldwide.
- ✅ No time limit: use is authorised without limitation in time.
- ✅ Use across various media: video, events, radio, web, retail, etc.
- ❌ Modification prohibited without prior written consent: the work may not be altered, remixed or modified without written authorisation.
✅ 3.8 Invoicing and proof of purchase
The purchase of a music licence is evidenced by a named invoice serving as proof, which contains all information required to identify:
- the buyer,
- the work concerned,
- the type of licence purchased.
📌 The invoice constitutes proof of the right to use the work, subject to the conditions set out in these Terms and Conditions and on the “Music Licence Conditions” page.
📌 No additional certificate or contract is provided automatically.

3.9 Pricing and supporting documents
Music licence prices are calculated transparently and fairly according to the type of organisation.
🔹 Pricing criteria:
✅ Companies → Prices based on annual turnover, ensuring that pricing is adapted to each company's economic capacity.
✅ Associations → Prices determined according to the declared annual budget, in order to maintain accessibility for non-profit organisations.
✅ Public authorities (Municipalities, Departments, Regions, the State, International Organisations) → Prices adjusted according to the population of the territory concerned, ensuring use proportionate to local needs.
A supporting document (e.g. Kbis extract, accounting statement, administrative document) may be requested to validate eligibility for the corresponding price.
🔐 3.10 – Compatibility with SACEM and collectively managed copyright
Certain musical works offered on Soul Rebel E-Shop may be, or may later become, registered with SACEM (Société des Auteurs, Compositeurs et Éditeurs de Musique).
Accordingly:

Professional licences sold on the website do not include copyright royalties collectively managed by SACEM (public performance, broadcasting, reproduction on media intended for sale, etc.).

The customer remains entirely responsible for any declarations and payments due to SACEM or its partners (e.g. SPRE, SDRM) for such uses.

No public-performance authorisation may be considered granted solely by purchasing a licence on the website if the work concerned is registered with SACEM.

Where applicable, the user is invited to contact SACEM directly to determine the obligations relating to use of the work.

Article 4 - Liability and Customer Service
- SOUL REBEL guarantees product conformity.
- No refund or replacement in the event of incompatibility with the buyer's devices.
- Technical support available within 48 working hours in the event of a technical problem.
Article 5 - Copyright Protection
All products are protected by French copyright law and remain the exclusive property of GITTON Sylvère / SOUL REBEL. Any breach of these conditions may result in legal action.
Article 6 - Governing Law and Disputes
- These Terms and Conditions are governed by French law.
- In the event of a dispute, an amicable resolution will be sought first.
- Failing agreement, the competent court shall be the Commercial Court of Salon-de-Provence.
Article 7 - Personal Data Protection
SOUL REBEL undertakes to protect its customers' personal data in accordance with the French Data Protection Act of 6 January 1978 and the General Data Protection Regulation (GDPR - EU 2016/679).

Article 9 - Force Majeure
Neither party may be held liable if performance of the contract is delayed or prevented due to an event of force majeure, as defined by Article 1218 of the French Civil Code (natural disaster, pandemic, war, etc.).
